Affiliate Programme Terms and Conditions

By Submitting an Application and/or Participating in Our Affiliate Programme You Accept These Terms and Conditions

Please read these Terms and Conditions carefully and ensure that you understand them before submitting an application or otherwise participating in Our Affiliate Programme.

These Terms and Conditions, together with any other documents referred to herein (unless otherwise stated), set out the terms governing your participation in Our affiliate programme operated through the website safarisbyella.com (“Our Site”).

These Terms and Conditions were last updated on 4 May 2026.

Your agreement to comply with these Terms and Conditions is indicated by ticking the acceptance box on Our affiliate application form, by use of any Affiliate Account or Referral Link issued to you by Us, and by accepting any Commission from Us. If you do not agree to these Terms and Conditions, you must not submit an application or participate in Our Affiliate Programme.

The following documents also apply to your participation:

    1. To contact Us about the Affiliate Programme, please email Us by visiting https://safarisbyella.com/contact/.
  1. Eligibility and Application
    1. To apply for Our Affiliate Programme, You must be aged 18 or over and capable of entering into a legally binding contract.
    2. You must complete and submit Our Application in full and provide accurate, current, and complete information. If any of Your information changes, it is Your responsibility to ensure that Your Account is kept up to date.
    3. We may approve or reject any Application at Our sole and absolute discretion. We are not obliged to give reasons for any decision.
    4. All Applications are subject to approval by Us, regardless of whether the Application was initiated by Us or by a Partner. A Partner may invite You to apply and may view the status of Your Application, but a Partner has no authority to approve, reject, vary, or activate Your Affiliate status.
  1. The Affiliate Relationship
    1. You participate in Our Affiliate Programme as an independent Introducer. Nothing in these Terms and Conditions creates a relationship of employment, agency, partnership, joint venture, or franchise between You and Us, between You and any Partner, or between You and any third-party supplier.
    2. You have no authority to make any representation, warranty, or commitment on Our behalf, on behalf of any Partner, or on behalf of any third-party supplier. You may not enter into any contract, accept any money, or otherwise bind Us, any Partner, or any third-party supplier.
    3. The contract for any safari or travel experience purchased by a Customer is directly between the Customer and the relevant third-party supplier. We do not handle Customer monies and have no liability for the supply of the underlying travel services. See further Part 13 of Our website Terms and Conditions.
  1. Your Account and Referral Link
    1. On approval of Your Application, We will provide You with an Account and at least one unique Referral Link.
    2. You must keep Your Account credentials secure and must not share them with any other person.
    3. You must not sell, transfer, sub-license, or otherwise make Your Account or Referral Link available to any third party without Our prior written consent.
    4. You are responsible for all activity carried out under Your Account or via Your Referral Link, whether or not authorised by You. If You believe Your Account has been used without Your permission, You must notify Us immediately and change Your password.
  1. Permitted Promotional Methods
    1. Subject to Part 8 and to applicable law, You may promote Our Site and Your Referral Link by:
      1. Including Your Referral Link on websites, blogs, and social media accounts that You own or are authorised to use;
      2. Including Your Referral Link in email communications sent to recipients who have opted in to receive marketing from You and where such communication complies with all applicable law (including the Privacy and Electronic Communications Regulations and the UK GDPR);
      3. Using Marketing Materials We have made available to You, in accordance with Part 9;
      4. Any other method that We have approved in writing.
  1. Prohibited Promotional Methods
    1. You must not, and must not allow any third party to:
      1. Bid on, register, or use as a paid keyword the brand name “Safaris By Ella,” “EJM Media,” or Our domain “safarisbyella.com,” or any variation, misspelling, translation, or confusingly similar term, in any pay-per-click or paid search campaign on any platform (including but not limited to Google Ads, Microsoft Advertising, Meta Ads, TikTok Ads, and YouTube Ads);
      2. Direct paid advertising to any URL on Our Site, or to a URL that automatically redirects to Our Site, without Our prior written consent;
      3. Make a booking using Your own Referral Link, or claim Commission in respect of any booking made by You, by a member of Your immediate family or household, or by any business owned or controlled by You (“self-referrals”);
      4. Use cookie stuffing, forced clicks, automated traffic, hidden iframes, pop-ups, pop-unders, adware, browser extensions, or any other technique designed to set a Tracking Cookie without the genuine, voluntary action of the Customer;
      5. Send unsolicited bulk email, post on forums, comment sections, or messaging services in a manner that constitutes spam, or breach the Privacy and Electronic Communications Regulations, the CAN-SPAM Act, or any equivalent law;
      6. Make any false, misleading, exaggerated, or unsubstantiated claim about Us, Our Site, the services available through Our Site, prices, availability, or guarantees;
      7. Imply any sponsorship, endorsement, employment, or formal affiliation with Us, with any Partner, or with any third-party supplier, beyond Your status as an independent Affiliate;
      8. Register or use any domain name, social media handle, app store listing, or username that contains Our brand or any confusingly similar variation;
      9. Reproduce, frame, mirror, or scrape Our Site or any part of its content, except as expressly permitted under Our website Terms and Conditions;
      10. Promote Our Site through any website or channel of the kind described in Part 11.6 of Our website Terms and Conditions (unlawful, obscene, defamatory, discriminatory, infringing, or otherwise objectionable content);
      11. Recruit other persons to refer Customers using Your Referral Link in expectation of payment (“sub-affiliating”) without Our prior written consent.
    2. Breach of any provision of Part 8.1 is a material breach of these Terms and Conditions and entitles Us to terminate immediately under Part 17 and to forfeit any unpaid Commission.
  1. Marketing Materials and Intellectual Property
    1. We grant You a limited, non-exclusive, non-transferable, revocable licence to use Marketing Materials We make available to You, solely for the purpose of promoting Our Site under these Terms and Conditions.
    2. You must not modify Marketing Materials, except as expressly permitted by Us in writing.
    3. All intellectual property rights in Our Site, Our brand, and Our Marketing Materials remain Our property (or that of Our licensors). Nothing in these Terms and Conditions transfers any such rights to You.
    4. The licence granted under Part 9.1 ends automatically on termination of Your Affiliate status. On termination, You must remove all Marketing Materials and Your Referral Links from any property under Your control within 14 days.
  1. Tracking, Referrals and Qualifying Bookings
    1. Referrals are tracked by means of a Tracking Cookie set in the Customer’s browser when the Customer clicks Your Referral Link.
    2. The Tracking Cookie has a duration of 60 days from the date the Customer clicks Your Referral Link.
    3. Where a Customer clicks more than one Affiliate’s Referral Link within the cookie window, the referral is credited to the Affiliate whose link the Customer clicked first (“first-click attribution”), in accordance with the configuration of Our affiliate platform. We may change the attribution model on reasonable notice; any such change applies prospectively only.
    4. We do not warrant that any cookie, tracking pixel, or attribution mechanism will function in all browsers, devices, or circumstances. Browser settings, ad blockers, privacy extensions, cross-device journeys, server-side tracking limitations, and changes to platform policy are outside Our control. We accept no liability for any failure of attribution that results.
    5. A booking is a Qualifying Booking only where:
      1. The booking was made by a Customer attributed to You under Part 10.3;
      2. The booking has been confirmed in Our records by the relevant Partner or third-party supplier;
      3. The Customer has paid for the booking in full; and
      4. The booking has not been cancelled, refunded, charged back, or otherwise reversed.
  1. Commission and Payment
    1. The Commission rate applicable to You is the rate set out in Your Account at the time the Qualifying Booking is recorded. We may vary the standard Commission rate on reasonable notice, with any change applying only to bookings recorded after the change takes effect.
    2. Where You are a Partner-Invited Affiliate, Commission is payable by Us, not by the Partner. Commission is calculated as a percentage (at the rate set out in Your Account) of the commission that We receive from the relevant Partner in respect of the Qualifying Booking.
    3. Commission accrues to Your Account only after the relevant Partner or third-party supplier has reported the booking to Us in their normal booking submission and We have received the corresponding fee.
    4. We will pay accrued Commission to You in the next regular payment cycle once Your accrued Account balance exceeds USD 500 (the “Payout Threshold”). Balances below the Payout Threshold roll over until the Payout Threshold is reached.
    5. Payments are made in USD by the payment method nominated by You in Your Account. You are responsible for any banking, foreign exchange, intermediary, or payment provider fees imposed on the payment.
    6. No Commission is payable in respect of:
      1. Self-referrals as defined in Part 8.1.3;
      2. Bookings cancelled, refunded, charged back, or reversed at any time;
      3. Bookings reasonably determined by Us to result from a breach of Part 8 or any other breach of these Terms and Conditions;
      4. Bookings reasonably determined by Us to be fraudulent, including but not limited to bookings made with stolen or unauthorised payment details.
    7. If a booking on which Commission has accrued or been paid to You is subsequently cancelled, refunded, charged back, or otherwise reversed, the corresponding Commission will be clawed back. We may at Our option:
      1. Reverse the accrual against Your Account balance;
      2. Deduct the corresponding amount from Your next or any subsequent payment; or
      3. Where Your Account balance is insufficient or no further payments are due, invoice You for the corresponding amount, payable within thirty (30) days of the date of invoice.
    8. You are responsible for all taxes, duties, and levies arising on Commission paid to You. Where We are required by law to deduct any tax or withholding, We will pay the net amount.
    9. We may withhold payment of Commission while We investigate any suspected breach of these Terms and Conditions or any suspected fraudulent activity. Where the investigation finds a breach, the affected Commission is forfeit.
  1. Partner-Invited Affiliates
    1. Where Your Application was initiated by a Partner, You are a Partner-Invited Affiliate. The following additional terms apply to You.
    2. Bookings generated by Your Referral Link will be routed exclusively to the Partner who recruited You, in accordance with Our normal lead-allocation process for Your dedicated form.
    3. Your contractual relationship under these Terms and Conditions is with Us. The Partner has no authority to:
      1. Approve, reject, or activate Your Affiliate status;
      2. Vary the Commission rate set out in Your Account;
      3. Suspend or terminate Your participation in the Affiliate Programme;
      4. Make any payment of Commission to You; or
      5. Otherwise act on Our behalf in relation to Your Affiliate status.
    4. The Partner who invited You may view Your application status, Your Referral Link, and aggregate performance data through their partner portal, for the sole purpose of managing the Affiliates they have recruited. You consent to Us sharing this information with that Partner.
    5. If the Partner who recruited You ceases to participate in Our wider partner programme, We may at Our discretion (i) continue Your Affiliate status by routing Your referrals to another Partner or to Us directly, or (ii) terminate Your Affiliate status under Part 17. We will notify You of any such change.
  1. Confidentiality
    1. You must keep confidential and must not disclose to any third party:
      1. The Commission rates payable to You or to any other Affiliate;
      2. The terms of any non-public agreement between You and Us;
      3. Any Customer or lead data You may receive in connection with the Affiliate Programme;
      4. Any unpublished Marketing Materials or business information We share with You.
    2. Part 13.1 does not apply to information that is or becomes public other than through Your breach, or that You are required to disclose by law.
  1. Data Protection
    1. We will only use Your personal information as set out in Our Privacy Policy, available from https://safarisbyella.com/privacy-policy/.
    2. Where You collect, use, or share personal data of any third party (including any prospective Customer) in the course of promoting Our Site, You act as a separate and independent data controller for that data. You must comply with the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations, and any other applicable data protection law.
    3. You must not transfer to Us any personal data that You have not collected lawfully and for which You do not have an appropriate lawful basis to share with Us.
  1. Compliance with Laws and Advertising Standards
    1. You must comply with all laws, regulations, and codes applicable to Your promotional activity, including the UK Committee of Advertising Practice (CAP) Code, the rules of the Advertising Standards Authority (ASA), the Consumer Protection from Unfair Trading Regulations 2008, the Digital Markets, Competition and Consumers Act 2024, and equivalent laws and codes in any other jurisdiction in which You operate.
    2. Where You promote Our Site on social media, in blog posts, in email, or in any other channel, You must clearly and prominently disclose that the link is an affiliate link or paid partnership, in the manner required by the CAP Code (for example, “#ad” or “Affiliate”) or by the equivalent code in Your jurisdiction.
    3. You are solely responsible for the content You publish in promoting Our Site. You will indemnify Us in accordance with Part 19 against any claim arising from breach of this Part 15.
  1. Disclaimers
    1. The Affiliate Programme, including Our affiliate platform, Tracking Cookies, Marketing Materials, and reporting, is provided on an “as is” and “as available” basis. We make no warranties, representations, or guarantees (express or implied) that the Affiliate Programme will be uninterrupted, error-free, or that any particular level of Commission will be earned.
    2. Nothing on Our Site or in any Marketing Materials constitutes professional advice on which You or any Customer should rely.
    3. We do not warrant that any third-party platform on which the Affiliate Programme depends (including, but not limited to, Our affiliate tracking software, payment providers, email providers, and analytics providers) will continue to be available or will perform as expected.
  1. Suspension, Termination and Effect
    1. Either You or We may terminate Your Affiliate status at any time by giving thirty (30) days’ written notice to the other (email is sufficient).
    2. We may suspend or terminate Your Affiliate status with immediate effect by written notice if:
      1. You commit a material breach of these Terms and Conditions (including, but not limited to, any breach of Part 8 or Part 15);
      2. We reasonably suspect fraudulent or unlawful activity on Your part;
      3. You become insolvent, are made bankrupt, enter into liquidation, have an administrator or receiver appointed, or undergo any analogous event in any jurisdiction; or
      4. We cease to operate the Affiliate Programme.
    3. On termination of Your Affiliate status:
      1. You must immediately cease use of all Marketing Materials and remove all Referral Links and references to Us from any property under Your control, in accordance with Part 9.4;
      2. Subject to Part 17.4, We will pay any Commission accrued in respect of Qualifying Bookings up to the date of termination on the next regular payment cycle on which Your balance exceeds the Payout Threshold;
      3. The provisions of Parts 8, 9.3, 11.7, 13, 14, 15, 16, 18, 19, 20, and 23 survive termination.
    4. We may forfeit any unpaid Commission accrued to Your Account where We terminate Your Affiliate status under Part 17.2.1 or Part 17.2.2.
  1. Our Liability
    1. Nothing in these Terms and Conditions excludes or restricts Our liability for fraud or fraudulent misrepresentation, for death or personal injury resulting from negligence, or for any other forms of liability which cannot be lawfully excluded or restricted.
    2. To the fullest extent permissible by law, We accept no liability for any loss or damage, whether foreseeable or otherwise, in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising out of or in connection with Your participation in the Affiliate Programme or Your use of (or inability to use) Our affiliate platform.
    3. We accept no liability for loss of profit, sales, business, revenue, anticipated savings, business opportunity, goodwill, or reputation; for business interruption; or for any indirect or consequential loss or damage.
    4. Subject to Part 18.1, Our total aggregate liability to You under or in connection with these Terms and Conditions in any rolling twelve (12) month period is limited to the total Commission paid by Us to You in the twelve (12) months immediately preceding the event giving rise to the claim.
  1. Indemnity
    1. You will indemnify Us and keep Us indemnified against all losses, damages, costs (including reasonable legal costs), expenses, fines, and liabilities suffered or incurred by Us arising out of or in connection with:
      1. Any breach by You of these Terms and Conditions;
      2. Any content You publish, statement You make, or claim You make in promoting Our Site;
      3. Any claim that Your promotional activity infringes the rights of any third party (including intellectual property rights and rights of privacy); and
      4. Any failure by You to comply with applicable law (including any data protection or advertising law).
  1. Changes to These Terms and Conditions
    1. We may alter these Terms and Conditions at any time. Any changes will apply to Your participation in the Affiliate Programme on the date of publication of the revised Terms and Conditions on Our Site, save that material changes that increase Your obligations or reduce Your Commission entitlement will not apply to bookings already attributed to You at the date of change.
    2. If any part of the current version of these Terms and Conditions conflicts with any previous version(s), the current version shall prevail unless We explicitly state otherwise.
    3. You are advised to check this page from time to time. Continued participation in the Affiliate Programme after publication of revised Terms and Conditions constitutes acceptance.
  1. Communications from Us
    1. We may send You important notices by email from time to time. Such notices may relate to matters including, but not limited to, changes to these Terms and Conditions, to Your Account, to Commission, or to the operation of the Affiliate Programme.
    2. We will not send You marketing emails without Your express consent. If You do consent to marketing, You may opt out at any time. All marketing emails from Us include an unsubscribe link.
    3. For questions or complaints about communications from Us, please contact Us using the details in Part 3.
  1. General
    1. No failure or delay by either party to exercise any right under these Terms and Conditions is a waiver of that right.
    2. If any provision of these Terms and Conditions is held by a court or other competent authority to be invalid or unenforceable, the remaining provisions remain in full force and effect.
    3. You may not assign, sub-license, or otherwise transfer Your rights or obligations under these Terms and Conditions without Our prior written consent. We may assign Our rights or obligations to a successor or to an affiliated entity.
    4. These Terms and Conditions, together with the documents referred to in them, constitute the entire agreement between You and Us in relation to the Affiliate Programme and supersede all prior representations and agreements between You and Us in relation to its subject matter.
    5. Save as expressly provided in these Terms and Conditions, no third party has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms and Conditions.
  1. Law and Jurisdiction
    1. These Terms and Conditions, and the relationship between You and Us (whether contractual or otherwise) shall be governed by, and construed in accordance with, English law.
    2. If You are a consumer, You will benefit from any mandatory provisions of the law in Your country of residence. Nothing in Part 23.1 takes away from or reduces Your legal rights as a consumer.
    3. If You are a consumer, any dispute, controversy, proceedings, or claim between You and Us relating to these Terms and Conditions or to the relationship between You and Us (whether contractual or otherwise) shall be subject to the jurisdiction of the courts of England, Wales, Scotland, or Northern Ireland, as determined by Your residency.
    4. If You are a business user, any dispute, controversy, proceedings, or claim between You and Us relating to these Terms and Conditions or to the relationship between You and Us (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of England and Wales.
